Terms of Service — ClearPrep Health

SMS Program: ClearPrep Health — Patient preparation reminders. Message frequency varies by protocol. Message and data rates may apply. Reply HELP for help. Reply STOP to opt out.

1. Acceptance of Terms

By accessing or using the ClearPrep Health platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a healthcare clinic or organization, you represent that you have authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Service.

2. Description of Service

ClearPrep Health is a SaaS platform that enables healthcare clinics to deliver protocol-specific patient preparation guides via timed SMS reminders with secure tokenized links. The Service is intended for use by licensed healthcare providers and their staff.

3. Eligibility and Account Registration

You must be at least 18 years of age to use this Service
You must provide accurate and complete information when creating an account
You are responsible for maintaining the confidentiality of your account credentials
You must notify us immediately of any unauthorized use of your account at hello@clearprep.health
Each account is for a single clinic location unless otherwise agreed in writing

4. HIPAA and Patient Data

ClearPrep Health is designed for use in healthcare settings. Clinics using this Service are Covered Entities or Business Associates under HIPAA. By using the Service, you agree to:

Execute a Business Associate Agreement (BAA) with ClearPrep Health prior to enrolling any patients
Obtain explicit written patient consent before enrolling patients in the SMS messaging program
Use the Service only for lawful healthcare communications
Not enter any protected health information (PHI) into SMS message templates or guide content beyond what the platform is designed to accept
Ensure all staff with platform access have completed required HIPAA training

5. SMS Messaging Terms

Program name: ClearPrep Health

Description: Automated patient preparation reminders sent on behalf of enrolled healthcare clinics.

Message frequency: Varies by protocol. Typically 2–8 messages per patient per procedure.

Message and data rates: Standard message and data rates may apply depending on your mobile carrier plan.

Opt-out: Reply STOP to any message to opt out. No further messages will be sent after a STOP reply.

Opt-in: Reply START to resume messages after opting out.

Help: Reply HELP or contact hello@clearprep.health for assistance.

Supported carriers: AT&T, T-Mobile, Verizon, and most major US carriers. Carrier support is not guaranteed for all carriers.

6. Acceptable Use

You agree not to use the Service to:

Send unsolicited messages to patients who have not provided consent
Transmit PHI in SMS message bodies
Impersonate any person or entity
Violate any applicable law, regulation, or carrier guideline
Attempt to gain unauthorized access to any part of the platform
Use the platform for any purpose other than legitimate patient preparation communications

7. Subscription and Billing

Subscriptions are billed monthly in advance
All fees are non-refundable except as required by law
We reserve the right to change pricing with 30 days written notice
Failure to pay may result in suspension of your account
Payment is processed by Stripe. ClearPrep Health does not store payment card information

8. Intellectual Property

The ClearPrep Health platform, including its software, design, and content, is owned by ClearPrep Health LLC and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service during your subscription term. You retain ownership of your clinic's protocol content and patient data.

9. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind, express or implied. ClearPrep Health does not warrant that the Service will be uninterrupted, error-free, or free of harmful components. The Service is a communication tool and does not constitute medical advice. Clinics retain full clinical responsibility for patient care.

10. Limitation of Liability

To the maximum extent permitted by law, ClearPrep Health LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount paid by you for the Service in the three months preceding the claim.

11. Termination

Either party may terminate the subscription at any time. Upon termination, your access to the platform will cease. Patient data will be retained for 30 days following termination to allow for export, after which it will be securely deleted unless retention is required by law.

12. Governing Law

These Terms are governed by the laws of the State of Arizona, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Maricopa County, Arizona.

13. Changes to These Terms

We may update these Terms from time to time. We will notify clinic administrators of material changes by email at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
